نبذة مختصرة : When the 2015 Penal Code came into effect, the penal liability of legal entities was stipulated for the first time by Vietnam’s Penal Code. As a result, it is inevitable that the enforcement of the penal code encounters difficulties and obstacles. In line with this, this article presents a piece of research aimed at pointing out the similarities and differences between administrative acts of legal violation and penal acts of legal violation in order to dermacate between administrative acts of legal violation by commercial legal entities and criminal acts of commercial legal entities, thereby indicating the inadequacies of the administrative law and the 2015 Penal Code in handling wrongful acts by commercial legal entities and proposing recommendations for the purpose of improving the legal system. ; Chế định trách nhiệm hình sự của pháp nhân thương mại lần đầu tiên được quy định trong pháp luật hình sự Việt Nam, khi Bộ luật Hình sự năm 2015 có hiệu lực thi hành, thực tiễn áp dụng pháp luật sẽ không tránh khỏi những khó khăn, vướng mắc. Do đó, bài viết được nghiên cứu nhằm chỉ ra những điểm giống và khác biệt của hành vi vi phạm pháp luật hành chính và hành vi vi phạm pháp luật hình sự, nhằm phân định rõ ranh giới giữa hành vi vi phạm pháp luật hành chính của pháp nhân thương mại và hành vi phạm tội của pháp nhân thương mại, qua đó chỉ ra những bất cập của pháp luật hành chính và Bộ luật Hình sự 2015 khi xử lý hành vi vi phạm của pháp nhân thương mại và nêu ra kiến nghị nhằm hoàn thiện hệ thống pháp luật.
